RIVERSTONE. Riverstone" shall have the meaning set forth in the ---------- Preamble.

RIVERSTONE. Upon and following the expiration or termination of this Employment Agreement, the Executive shall be entitled to use of the Company’s Riverstone facilities at the Executive’s expense based on the same rates applied toward executive officers of the Company; provided, however, that, at any time following the two-year anniversary of such expiration or termination date, such usage by the Executive may be terminated by either the Company or the Executive with thirty (30) days’ prior notice to the other party. Notwithstanding the foregoing, the Executive’s entitlement pursuant to this Section 3.2(e) (i) shall apply only if the Executive’s use of such facilities does not in any way interfere or conflict with the Company’s use of such facilities, (ii) is conditioned upon, and subject to, the Company continuing to hold 100% ownership interest in such facilities (and the Company shall have no obligation to continue to hold such ownership interest), (iii) shall not be deemed to “run with the land” under applicable property or other laws, (iv) shall not apply if the Executive’s employment is terminated for Cause. For the avoidance of doubt, nothing in this Section 3.2(e) shall in any way restrict or limit the ability of the Company to dispose all or any portion of its interests in such Riverstone facilities.
