Common use of Risk Mitigation Plan Clause in Contracts

Risk Mitigation Plan. Teva understands and acknowledges that Alexza does not currently and does not plan to manufacture all components of the Product, but instead works with one or more Suppliers to obtain certain components necessary to manufacture the Product and is bound by the terms of the agreements with vendors, including Suppliers. Alexza shall use Commercially Reasonable Efforts to (a) minimize any vendor or Supplier delays or disruptions, (b) identify appropriate measures to respond to potential catastrophic events, and (c) prepare a risk mitigation plan for manufacture of the Product under this Agreement. The Manufacturing JPT shall conduct annual review and assessment of the risk mitigation plan and the implementation and compliance thereof. In addition, identification of critical components that could potentially create significant manufacturing delays will be reviewed by the Manufacturing JPT.
