Common use of Rights Plans Clause in Contracts

Rights Plans. To the extent that the Company has a rights plan in effect with respect to the Common Stock on any Determination Date, Holders shall receive, in addition to the Common Stock, the rights under the rights plan, unless, prior to such Determination Date, the rights have separated from the Common Stock, in which case each Fixed Settlement Rate shall be adjusted at the time of separation as if the Company made a distribution to all holders of the Common Stock as described in Section 5.01(a)(iii)(A), subject to readjustment in the event of the expiration, termination or redemption of such rights.

Rights Plans. To the extent that the Company has a rights plan in effect with respect to the Common Stock on any Determination Date, Holders shall receive, in addition to the Common Stock, the rights under the such rights plan, unless, prior to such Determination Date, the rights have separated from the Common Stock, in which case each Fixed Settlement Rate shall be adjusted at the time of separation of such rights as if the Company made a distribution to all holders of the Common Stock as described in Section 5.01(a)(iii)(A5.01(a)(iv), subject to readjustment in the event of the expiration, termination or redemption of such rights.

To the extent that the Company has a rights plan in effect with respect to the Common Stock on any Determination Datedate for determining the number of shares of Common Stock issuable to a Holder, Holders shall receive, in addition to the Common Stock, the rights under the such rights plan, unless, prior to such Determination Datedate of determination, the rights have separated from the Common Stock, in which case each Fixed Settlement Rate shall be adjusted at the time of separation of such rights as if the Company made a distribution to all holders of the Common Stock as described in pursuant to Section 5.01(a)(iii)(A5.01(a)(iii), subject to readjustment in the event of the expiration, termination or redemption of such rights.

To the extent that the Company has a rights plan in effect with respect to the Common Stock on any Determination Settlement Date, upon settlement of any Purchase Contracts, Holders shall receive, in addition to the Common Stock, the rights under the such rights plan, unless, prior to such Determination Settlement Date, the rights have separated from the Common Stock, in which case each Fixed Settlement Rate shall be adjusted at the time of separation of such rights as if the Company made a distribution to all holders of the Common Stock as described in Section 5.01(a)(iii)(A5.01(a)(iv), subject to readjustment in the event of the expiration, termination or redemption of such rights.

To the extent that the Company has a rights plan in effect with respect to the Common Stock on any Determination DateSettlement Date for any Purchase Contracts, the Holders thereof shall receivebe entitled to receive from the Company, in addition to the Common Stockconsideration otherwise then due, the rights under the such rights plan, unless, prior to such Determination Settlement Date, the rights have separated from the Common Stock, in which case each Fixed Settlement Rate shall be adjusted at the time of separation of such rights as if the Company made a distribution to all holders of the Common Stock as described in that is subject to Section 5.01(a)(iii)(A5.01(a)(iv), subject to readjustment in the event of the expiration, termination or redemption of such rights.
