Rights Offering and Option Plan Matters. (a) The Company and the Investors acknowledge and agree that, promptly after the Closing, the Company intends to offer to its stockholders (excluding the Investors) non-transferable rights to purchase 15,625,000 shares of Common Stock at the Purchase Price, and each Investor hereby agrees to waive any right to participate in such rights offering.
