Common use of Rights of Unadmitted Assignees Clause in Contracts

Rights of Unadmitted Assignees. A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 hereof shall be entitled only to the Membership Economic Interests with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires Units but who is not admitted as a substituted Substitute Member pursuant to Section 9.8 hereof of this Agreement shall be entitled only to the Membership Economic Interests Financial Rights with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest Interests with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the other rights of a Member under the Act or this Agreement.

In addition, such Person shall have no right to any information or accounting of the affairs of the CompanyCompany except as required by the Act, shall not be entitled to inspect the books or records of the Company, and shall not have any of the other rights of a Member under the Act or this Agreement.

A Person who acquires Equity Units but who is not admitted as a substituted Member pursuant to Section 9.8 hereof 11.6 shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Equity Units in accordance with this Agreement, and shall not be entitled and, to the Membership Voting Interest with respect to such Units. In additionfullest extent permitted by Law, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 10.8 hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Joint Sales Company, shall not be entitled to inspect the books or records of the Joint Sales Company, shall not be entitled to designate any Directors and shall not have any of the other rights of a Member under the Act or this Agreement.

A Person who acquires Units but who is not admitted as a substituted Substitute Member pursuant to Section 9.8 hereof 9.9 of this Agreement shall be entitled only to the Membership Economic Interests with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest Interests with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the CompanyCompany except as required by the Act, shall not be entitled to inspect the books or records of the Company, and shall not have any of the other rights of a Member under the Act or this Agreement.

In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

A Person who acquires Units a Unit but who is not admitted as a substituted Substituted Member pursuant to Section 9.8 8.7 hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units Unit in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member Manager under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires one or more Units but who is not admitted as a substituted Member pursuant to Section 9.8 hereof this Agreement shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall (a) have no right to any information or accounting of the affairs of the Company, shall (b) not be entitled to inspect the books or records of the Company, and shall (c) not have any of the rights of a Member under the Act or this Agreement.

A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 12.7 hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 hereof shall 10.3 will be an assignee and will be entitled only to the Membership Economic Interests allocations and distributions with respect to such those Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall will have no right to any information or accounting of the affairs of the Company’s affairs, shall will not be entitled to inspect the Company’s books or records of the Companyrecords, and shall will not have any of the rights of a Member under the Act or this Agreement.

A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 SECTION 8.4 hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the any books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires one or more Units but who is not admitted as a substituted Substitute Member pursuant to Section 9.8 hereof shall 10.5 will be entitled only to the Membership Economic Interests Rights with respect to such Units in accordance with this Agreementthe Units, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall will have no right to Company information of any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, kind and shall not will have any of the no rights of a Member under the Act or this Agreement.

A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 10.7 hereof shall be entitled only to the Membership Economic Interests with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the BADGER STATE ETHANOL, LLC OPERATING AGREEMENT books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Person who acquires Units but who is not admitted as a substituted Member pursuant to Section 9.8 7.9 hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the any books or records of the Company, and shall not have any of the rights of a Member under the Act or this Agreement.

Rights of Unadmitted Assignees. A Any Person who that acquires Units a Unit but who that is not admitted as a substituted Member pursuant to Section 9.8 12.2 (an “Unadmitted Assignee”) hereof shall be entitled only to the Membership Economic Interests allocations and distributions with respect to such Units Unit in accordance with this Agreement, and shall not be entitled to the Membership Voting Interest with respect to such Units. In addition, such Person shall have no right to any information or accounting of the affairs of the Company, shall not be entitled to inspect the books or records of the Company, and shall not have any of the rights of a Member under the Act BOC or this Agreement.
