Rights of Ownership; Obligations Subject to Applicable Laws. Nothing contained in this Agreement shall create any obligation or restriction on the part of any member of either Group in the exercise and enjoyment of full rights of ownership of any shares of capital stock or other securities Beneficially Owned by such Person, except as expressly provided in this Agreement. The obligations of JCM and any other member of the Xxxxxx Group pursuant to Article II, III or IV shall in all cases be subject to and qualified by (i) the mandatory requirements of applicable laws, rules and regulations from time to time in effect, including the receipt of all consents and approvals of Governmental Authorities required and the expiration of all waiting periods applicable under any such law, rule or regulation without the commencement or threat of commencement of any action or proceeding seeking to enjoin or impose damages or penalties by reason of the consummation of any transaction contemplated by any such Article or to impose any restrictions, limitations, requirements or conditions which are or might be burdensome or adverse to any member of the Xxxxxx Group or any Company, and (ii) the absence of any material breach or violation of this Agreement or either Call Agreement by any member of the Xxxxxxx Group.
