Common use of Right to Severance Benefits Clause in Contracts

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 herein, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, a Qualifying Termination of the Executive has occurred. The Executive shall not be entitled to receive Severance Benefits if he/she is terminated for Cause, or if his/her employment with the Company ends due to death, Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good Reason.

Right to Severance Benefits. The Executive shall will be entitled to receive the Severance Benefits from the Company Severance Benefits, as described in Section 3.3 herein, if there has been a Qualifying Termination occurs after a Change in Control and before the end of the Company and if, within twenty-four fourth (2424th) calendar months month following the end of the month in which the Change in Control, a Qualifying Termination of the Executive has occurredControl occurs. The Executive shall will not be entitled to receive Severance Benefits if he/she the Executive’s employment is terminated (i) for Cause, or if his/her employment with the Company ends due to death, Disability, or Retirement or (ii) due to a voluntary termination of employment by the Executive without Good Reason, or (iii) due to death or Disability.

Right to Severance Benefits. The Subject to the provisions hereof, the Executive shall will be entitled to receive from the Company Severance Benefits, Benefits as described in Section 3.3 herein, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, a Qualifying Termination if any of the Executive has occurredevents designated within Section 3.2 occur. The Executive shall will not be entitled to receive Severance Benefits if he/she is terminated for Cause, his or if his/her employment with the Company ends due to death, Disabilitydisability, or Retirement or due to voluntary retirement, a voluntary termination of employment by the Executive without Good Reason, or due to an involuntary termination by the Company for Just Cause.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 herein4.3, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, a Qualifying Termination of the Executive has occurredincurred a Qualifying Termination. The Executive shall not be entitled to receive Severance Benefits if he/she his employment terminates (regardless of the reason) before the Protected Period (as such term is terminated for Cause, or if his/her employment with defined in Section 4.2(c)) corresponding to a Change in Control of the Company ends due to death, Disability, or Retirement or due to more than twenty-four (24) months after the date of a voluntary termination Change in Control of employment by the Executive without Good ReasonCompany.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 4.3 herein, if there has been the Executive incurs a Qualifying Termination during the six (6) month period immediately prior to a Change in Control of the Company and if, or within twenty-four (24) calendar months following the a Change in Control, a Qualifying Termination of the Executive has occurred. The Executive shall not be entitled to receive Severance Benefits if he/he or she is terminated for Cause, or if his/his or her employment with the Company ends due to death, Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good Reason.

The Executive shall be entitled to receive from the Company the Severance Benefits, as Benefits described in Section 3.3 herein, if there the Executive has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, incurred a Qualifying Termination of and satisfies the Executive has occurredrelease requirements set forth in Section 3.7. The Executive shall not be entitled to receive Severance Benefits if he/she is terminated for Cause, or if his/her his employment with terminates (regardless of the reason) before the Protected Period corresponding to a Change in Control of the Company ends due to death, Disability, or Retirement or due to more than twenty-four (24) months after the date of a voluntary termination Change in Control of employment by the Executive without Good ReasonCompany.

The Executive shall be entitled to receive from the Company Severance Benefits, Benefits as described in Section 3.3 2.3 herein, if there has been a Change in Control of the Company and if, within twenty-four twelve (2412) calendar months following thereafter, the Change Executive Separates from Service with the Company for any reason specified in Control, Section 2.2 herein as being a Qualifying Termination of the Executive has occurredTermination. The Executive shall not be entitled to receive Severance Benefits if he/she he is terminated for Cause, or if his/her his employment with the Company ends due to death, Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good Reasonfor reasons other than as specified in Section 2.2(b) herein.

The Executive shall be entitled to receive from the Company Severance Benefits, Benefits as described in Section 3.3 3.4 herein, if there has been a Change in Control of the Company as defined in Section 2.1(e) herein, and if, within twentythirty-four six (2436) calendar months following thereafter, the Change Executive's employment shall end for any reason specified in Control, Section 3.2 herein as being a Qualifying Termination of the Executive has occurredTermination. The Executive shall not be entitled to receive Severance Benefits if he/she the Executive's employment is involuntarily terminated for Just Cause, as provided under Article IV herein, or if his/her the Executive's employment with the Company ends terminates due to death, death or Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good Reason.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 herein, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following thereafter, the Change in Control, Executive experiences a Qualifying Termination of the Executive has occurredTermination. The Executive shall not be entitled to receive Severance Benefits if he/she is terminated he experiences an Involuntary Termination for Cause, a Separation from Service by reason of his death or if his/her employment with the Company ends due to death, Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good ReasonSeparation from Service after attaining his Normal Retirement Age, or a voluntary Separation from Service that is not a Constructive Termination.

Right to Severance Benefits. The Executive shall be entitled to receive from the Company the Severance Benefits, as Benefits described in Section 3.3 herein, if there the Executive has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, incurred a Qualifying Termination of and satisfies the Executive has occurredrelease requirements set forth in Section 3.7. The Executive shall not be entitled to receive Severance Benefits if he/she is terminated for Cause, or if his/her his employment with terminates (regardless of the reason) before the date of a Change in Control of the Company ends due to death, Disability, or Retirement or due to more than twelve (12) months after the date of a voluntary termination Change in Control of employment by the Executive without Good ReasonCompany.

Right to Severance Benefits. The Subject to Section 9.1, the Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 herein3.4, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change in Control, a Qualifying Termination of the Executive has occurredincurred a Qualifying Termination. The Executive shall not be entitled to receive Severance Benefits if he/she his employment terminates (regardless of the reason) before the Protected Period (as such term is terminated for Cause, or if his/her employment with defined in Section 3.3(c)) corresponding to a Change in Control of the Company ends due to death, Disability, or Retirement or due to more than twenty-four (24) months after the date of a voluntary termination Change in Control of employment by the Executive without Good ReasonCompany.

The Executive shall will be entitled to receive the Severance Benefits from the Company Severance Benefits, as described in Section 3.3 herein, if there has been a Qualifying Termination occurs on or after a Change in Control and before the end of the Company and if, within twenty-four fourth (2424th) calendar months month following the end of the month in which the Change in Control, a Qualifying Termination of the Executive has occurredControl occurs. Right to Severance Benefits. The Executive shall be entitled to receive from the Company Severance Benefits, as described in Section 3.3 herein3.3, if there has been a Change in Control of the Company and if, within twenty-four (24) calendar months following the Change Effective Time, the Executive’s employment with the Company shall end for the reason specified in ControlSection 3.2 and provided that Executive has executed, and not revoked, a Qualifying Termination binding general release of claims in the Executive has occurred. form attached hereto as Exhibit A. The Executive shall not be entitled to receive Severance Benefits if he/she he is terminated for Cause, or if his/her employment with the Company ends due to death, Disability, or Retirement Cause or due to a voluntary termination of employment by the Executive without Good Reasonfor any reason.

Right to Severance Benefits. The Executive shall not be entitled to receive Severance Benefits if he/she he is terminated for Cause, or if his/her his employment with the Company ends due to death, Disability, or Retirement or due to a voluntary termination of employment by the Executive without Good Reasonfor reasons other than as specified in Section 2.2(b) herein.
