Common use of Right to Exercise Clause in Contracts

Right to Exercise. (i) Subject to subsections 2(a)(ii) and 2(a)(iii) below, this Option shall be exercisable cumulatively according to the vesting schedule set forth in the Notice of Stock Option Grant. Alternatively, at the election of Participant, this Option may be exercised in whole or in part at any time as to Shares that have not yet vested. Vested Shares shall not be subject to the Company’s repurchase right (as set forth in the Restricted Stock Purchase Agreement, attached hereto as Exhibit C-1). (ii) As a condition to exercising this Option for unvested Shares, Participant shall execute the Restricted Stock Purchase Agreement. (iii) This Option may not be exercised for a fraction of a Share.

As a condition of exercising this Option for Unvested Shares, Participant shall execute the Restricted Stock Purchase Agreement and all attachments thereto, attached hereto as Exhibit B (the “Stock Purchase Agreement”). Vested Shares (all exercised Shares that are not Unvested Shares) shall not be subject to the Company’s repurchase right (as set forth in the Restricted Stock Purchase Agreement, attached hereto as Exhibit C-1). (ii) As a condition to exercising this Option for unvested Shares, Participant shall execute the Restricted Stock Purchase Agreement. (iiiii) This Option may not be exercised for a fraction of a Share.

Vested Unvested Shares shall not be subject to the Company’s repurchase right (as set forth in a Restricted Share Purchase Agreement in the form approved by the Company in its sole discretion (the “Restricted Stock Share Purchase Agreement, attached hereto as Exhibit C-1”). (ii) As a condition to exercising this Option for unvested Shares, the Participant shall execute the Restricted Stock Share Purchase Agreement. (iii) This Option may not be exercised for a fraction of a Share.

Right to Exercise. (iiic) This Option may not be exercised for a fraction of a Share.

(ii) As a condition to exercising this Option for unvested Shares, Participant the Optionee shall execute the Restricted Stock Purchase Agreement. (iii) This Option may not be exercised for a fraction of a Share.”

(ii) As a condition to exercising this Option for unvested Shares, Participant the Optionee shall execute the Restricted Stock Purchase AgreementAgreement attached hereto as Exhibit A-2. (iii) This Option may not be exercised for a fraction of a Share.

Right to Exercise. (ii) As a condition to exercising this Option for unvested Sharesshares of Stock, Participant shall execute the Restricted Stock Purchase Agreement. (iii) This Option may not be exercised for a fraction of a Share.
