Common use of Right of Participation; Right of First Refusal; Co-Sale Right Clause in Contracts

Right of Participation; Right of First Refusal; Co-Sale Right. The rights of the Preferred Shareholders and the rights of the Preferred Shareholders under Section 3 to Section 4 are fully assignable in connection with a transfer of shares of the Company by such Preferred Shareholders; provided, however, that no party may assign any of the foregoing rights unless the Company is given a written notice by the Preferred Shareholders stating the name and address of the assignee and identifying the securities of the Company as to which the rights in question are being assigned; and provided further, that any such assignee shall receive such assigned rights subject to all the terms and conditions of this Agreement.
