Common use of Right of First Refusal and Co-Sale Agreement Clause in Contracts

Right of First Refusal and Co-Sale Agreement. This Second Amended and Restated Right of First Refusal and Co-Sale Agreement (the “Agreement”) is made as of May 20, 2011 by and among certain holders of Common Stock listed on Exhibit A to this Agreement (“Common Holders”), TetraLogic Pharmaceuticals Corporation, a Delaware corporation (the “Company”), and the holders of capital stock of the Company listed on Exhibit B to this Agreement (each an “Investor” and collectively the “Investors”).
