Revenue from Clients. Except as otherwise agreed in writing between NAB and the Franchisee: (a) all remuneration (including Initial Fees, Servicing Fees and Trail Commissions) or other benefits (including soft dollar benefits) paid or provided by Clients, issuers of Financial Products, referral recipients and any other persons in relation to the activities of the Franchisee or other Authorised Representatives under this agreement, or any Authorised Representative Agreement, is payable directly to, or receivable by (as the case may be), the Franchisee; (b) the remuneration referred to in clause 9.1(a) is received by NAB directly as the holder of the AFSL and: (i) such remuneration will be remitted to the Franchisee each month, less any Service Fees, refunds owed by the Franchisee under clauses 9.1(b)(ii) and 9.1(b)(iii) and any other amounts payable by the Franchisee to NAB under this agreement; (ii) such remuneration may be paid to the Franchisee subject to a vesting period. If for any reason any such payment (in whole or in part) is refunded to a Client during the vesting period the relevant remuneration will be repayable by the Franchisee on the basis as notified to the Franchisee by NAB from time to time; and (iii) if any payment (in whole or part) is refunded to a Client by a Financial Product issuer at any time after the applicable vesting period, the relevant remuneration will be repayable by the Franchisee in proportion to the amount of payment refunded if NAB determines that the refund relates to: A. a breach of this agreement by the Franchisee; or B. a breach by the Franchisee or any other Authorised Representative of the Authorised Representative Agreement; or { if □ docproperty mDocID □3459- 2534-2979v1□ = "" C. a fraudulent or negligent act or omission by the Franchisee or any other Authorised Representative; (c) NAB will send the Franchisee a statement of the remuneration paid on or about the date of payment; and (d) the Franchisee will handle, and will ensure that each Authorised Representative handles all remuneration (including commission) or other benefits (including soft dollar benefits) received in connection with their activities under this agreement or any Authorised Representative Agreement in accordance with the Licensee Standards, Operating Procedures and Statutory Requirements.

  • Living Away From Home Allowance When Employees are to be engaged on a Project requiring them to live away from home, the provisions of Appendix I will apply in determining their entitlement and the conditions whilst they are living away from home.

  • Direct Sales The Manager will advise you promptly, on the Offering Date, as to the Securities purchased by you pursuant to the Underwriting Agreement that you will retain for direct sale. At any time prior to the termination of the applicable AAU, any such Securities that are held by the Manager for sale but not sold may, on your request and at the Manager’s discretion, be released to you for direct sale, and Securities so released to you will no longer be deemed held for sale by the Manager. You may allow, and Dealers may reallow, a discount on sales to Dealers in an amount not in excess of the Reallowance set forth in the applicable AAU. You may not purchase Securities from, or sell Securities to, any other Underwriter or Dealer at any discount or concession other than the Reallowance, except with the prior consent of the Manager.
