Retrospective Legislation. No liability shall arise in respect of any breach of any of the Warranties to the extent that liability for such breach occurs or is increased wholly or partly as a result of any legislation not in force at the date hereof which takes effectively retrospectively.
Retrospective Legislation. No liability shall arise in respect of any Claim to the extent that such liability arises or is increased wholly or partly as a result of any legislation not in force at the date of this agreement which takes effect retrospectively.

(C) any change after the date of this Agreement of any generally accepted interpretation or application of any legislation or in the enforcement policy or practice of the relevant authorities.

The Seller shall not be liable for any Claim to the extent that the Claim arises (or is increased) as a result of any change in any legislation or any change in the practice (including the withdrawal of any extra-statutory concession) of any Tax Authority or in the judicial interpretation of the law on or after the date of this Agreement.
Retrospective Legislation. No liability shall arise in respect of any breach of any of the Warranties or pursuant to PARAGRAPH 16 of SCHEDULE 8 to the extent that liability for such breach occurs or is increased directly or indirectly as a result of (i) any legislation not in force on or prior to the date of this Agreement or (ii) the withdrawal of any published extra-statutory concession or other agreement or (in relation only to the Tax Warranties) arrangement currently granted by or made with any governmental authority, or (iii) any change after the date of this Agreement of any published interpretation or (in relation only to the Tax Warranties) published application of any legislation or (in relation only to the Tax Warranties) in the enforcement policy or practice of the relevant authorities, or (iv) the withdrawal of any published extra-statutory concession or any other agreement or (in relation only to the Tax Warranties) arrangement with any Tax Authority (whether or not having the force of law) currently granted by or made with any Tax Authority.
Retrospective Legislation. The Sellers shall not be liable for any breach of any of the Warranties if such breach arises as a result of any statute, enacted or any amendment, modification or order made or statutory instrument passed or the occurrence of any analogous event after the date of this Agreement.
Retrospective Legislation. The Vendor shall not be liable for a breach of any Warranty or pursuant to or arising under or in connection with this Agreement to the extent that liability for such breach or under such indemnification occurs or is increased directly or indirectly as a result of any legislation not in force on or prior to the date of this Agreement or as a result of the withdrawal of any extra-statutory concession or other agreement or arrangement currently granted by or made with any governmental authority or Tax Authority or as a result of any change after the date of this Agreement of any generally accepted interpretation or application of any legislation or in the enforcement policy or practice of the relevant authorities or as a result of the withdrawal of any extra-statutory concession or any other formal agreement or arrangements with any Tax Authority (whether or not having the force of law) currently granted by or made with any Tax Authority.
Retrospective Legislation. 7.1 Save as provided in paragraph 7.2 of this Schedule, no liability shall arise in respect of any Claim to the extent that liability in respect of such Claim as a result of any legislation not in force at the date of this agreement which takes effect retrospectively.
7.2 The provisions of paragraph 7.1 of this Schedule shall not apply to any liability for expenditure which the Company may incur as a result of any legislation affecting the carrying on of its business in the ordinary course under:
7.2.1 any primary legislation which has received Royal Assent before the date of this agreement, but which shall come into force on a date later than Completion to be promulgated by subordinate legislation; or
7.2.2 any subordinate legislation of which a draft has been laid before the House of Commons before the date of this agreement.
