Retained Notes. RH2 Equity Partners shall retain the outstanding Pinnacle Notes and CMB Notes totaling five hundred thousand five hundred ninety-two dollars ($500,592). Such notes shall convert in accordance with the Consulting Agreement and the Debt Settlement and Assignment Agreements to be executed at Closing.
