Retained Functions and Cooperation. (a) In support of IBM’s performance of the Services, Solectron will (i) perform the Functions identified in the Agreement as Solectron Retained Functions (for purposes of this Section 5.2(a), the “Enumerated Retained Functions"); (ii) perform any related activities that are not spe- Solectron/IBM Confidential cifically described in the Agreement but are nevertheless reasonably required and appropriate for the proper performance and provision of the Enumerated Retained Functions in compliance with the requirements of the Agreement; and (iii) provide or make available to IBM the equipment, Software, facilities and other resources that the Agreement specifies are to be provided by Solectron. (b) Solectron will cooperate with IBM, including by making available management decisions, information, approvals and acceptances, as well as access to Solectron systems required for IBM to perform the Services, as reasonably required by IBM so that IBM may accomplish its obligations and responsibilities under the Agreement.
