Restructuring Steps. Prior to the Effective Time, Grace, ▇▇▇▇▇ ▇▇▇▇ and GCP shall and shall cause each of their respective Subsidiaries to take such actions as are necessary to carry out each of the steps described in the Restructuring Steps Memorandum as taking place prior to the Effective Time.
