Restrictions on the Payment of Dividends. No dividend whatever shall be paid or declared nor shall any distributions be made on any capital stock of the Issuer (except in shares of, or warrants or rights to subscribe for or purchase shares of, capital stock of the Issuer), nor shall any payment be made by the Issuer or any Restricted Subsidiary to acquire or retire shares of such stock, at a time when an Event of Default as defined in clauses (1) or (2) of Condition 9 has occurred and is continuing.
