Restrictions and Agreements. Except as set forth in Schedule 2.7, (i) neither of the Companies nor any of their respective Subsidiaries is a party to, nor are the Companies or any of their respective Subsidiaries or any of their respective properties or assets subject to or bound by, any judgment, order or decree of any Governmental Entity which has or is reasonably likely to have, individually or in the aggregate, a Material Adverse Effect, and (ii) neither of the Companies nor any of their respective Subsidiaries is a party to, nor are any of their respective properties or assets subject to or bound by, any contract, agreement or other instrument, which, as a result of the execution of this Agreement or the consummation of the transactions contemplated hereby, has or is reasonably likely to have, individually or in the aggregate, a Material Adverse Effect.
