Restriction on Repurchases. Until the expiration of two years after the original issuance of the Notes, the Company will not, and will cause its Affiliates not to, purchase or agree to purchase or otherwise acquire any shares of Class A Common Stock or any Notes or Exchange Notes which are “restricted securities” (as such term is defined under Rule 144(a)(3) under the Securities Act), whether as beneficial owner or otherwise unless, immediately upon any such purchase, the Company or any Affiliate shall cause such Shares, Notes or Exchange Notes to be canceled or shall not resell such Notes until the expiration of such period.
