Restricted Receipts. The term "Restricted Receipts" shall mean any Receipts issued pursuant to Section 4.5 hereunder in connection with the issuance of rights by the Company as set forth in such Section. Any such Restricted Receipts shall be held by such Holder and legended in accordance with applicable U.S. laws, and shall be subject to the appropriate restrictions on sale, deposit, cancellation, and transfer under such laws.
