Restricted Payments; Restricted Investments. Holdings will not, directly or indirectly, through any Subsidiary or otherwise, (a) pay or declare any dividend on any class of its capital stock (but may declare and pay dividends payable solely in capital stock or warrants, rights or options to acquire capital stock) or make any other distribution on account of any class of its capital stock; retire, redeem, purchase or otherwise acquire, directly or indirectly, any shares of any class of its capital stock or any warrants, rights or options to acquire any such shares (other than any such redemption, retirement, purchase or other acquisition in which the consideration paid by Holdings or such Subsidiary consists solely of shares of capital stock of Holdings); or make or provide for any mandatory sinking fund payments required in connection with any class of its capital stock (all of the foregoing being called “Restricted Payments”) or (b) make any Restricted Investment, unless after giving effect to any Restricted Payment or Restricted Investment the cumulative aggregate amount of all Restricted Payments and Restricted Investments made by Holdings and its Subsidiaries after September 30, 1992 would not exceed the sum of: (i) $2,000,000, plus (ii) 50% of cumulative Consolidated Net Income from September 30, 1992 through the date of determination (or if Holdings and its Subsidiaries on a consolidated basis have a cumulative Consolidated Net Loss for such period, then minus 100% of such Consolidated Net Loss), plus (iii) the net proceeds from the issuance or sale of any shares of any class of equity securities of Holdings which are not mandatorily redeemable or otherwise subject to repurchase, retirement, call, put or other reacquisition prior to or on the maturity date of the Notes (and not subject to acceleration or redemption repurchase, retirement, call, put or other reacquisition prior to the maturity date of the Notes) received after September 30, 1992; provided that at the time of any such Restricted Payment or Restricted Investment, both immediately before and immediately after giving effect thereto, (a) no Default or Event of Default shall have occurred and be continuing, and (b) Holdings, the Borrower and their Subsidiaries shall be able to incur, pursuant to Section l1.2(C)(ii) above, at least $1 of additional Funded Debt. So long as no Default or Event of Default has occurred or would be continuing after giving effect thereto, this Section 11.5 shall not prevent (a) the payment of any dividend within 60 days after the date of its declaration if the dividend would have been permitted on the date of its declaration, or (b) the acquisition, repurchase, retirement, call, put or redemption of any shares of capital stock of Holdings out of the proceeds of the substantially concurrent sale (other than to a Subsidiary of Holdings) of, shares of capital stock of Holdings, provided that any such acquisition, repurchase, retirement, call, put or redemption shall be deemed to be a Restricted Payment for the purpose of determining the ability of Holdings and its Subsidiaries to make future Restricted Payments.

Holdings The Borrower will not, directly or indirectly, indirectly (through any a Subsidiary or otherwise), (a) pay declare, order, pay, distribute, make, or declare set apart any dividend on sum or property for any class Restricted Payment, and the Borrower will not and will not permit any of its capital stock (but may declare and pay dividends payable solely in capital stock or warrants, rights or options Subsidiaries to acquire capital stock) or make any other distribution on account of any class of its capital stock; retire, redeem, purchase or otherwise acquire, directly or indirectly, any shares of any class of its capital stock or any warrants, rights or options to acquire any such shares (other than any such redemption, retirement, purchase or other acquisition in which the consideration paid by Holdings or such Subsidiary consists solely of shares of capital stock of Holdings); or make or provide for any mandatory sinking fund payments required in connection with any class of its capital stock (all of the foregoing being called “Restricted Payments”) or (b) become obligated to make any Restricted InvestmentInvestment unless, unless after giving effect to any Restricted Payment or Restricted Investment the cumulative aggregate amount of all Restricted Payments and Restricted Investments made by Holdings and its Subsidiaries after September 30, 1992 would not exceed the sum of: (i) $2,000,000, plus (ii) 50% of cumulative Consolidated Net Income from September 30, 1992 through the date of determination (or if Holdings and its Subsidiaries on a consolidated basis have a cumulative Consolidated Net Loss for such period, then minus 100% of such Consolidated Net Loss), plus (iii) the net proceeds from the issuance or sale of any shares of any class of equity securities of Holdings which are not mandatorily redeemable or otherwise subject to repurchase, retirement, call, put or other reacquisition prior to or on the maturity date of the Notes (and not subject to acceleration or redemption repurchase, retirement, call, put or other reacquisition prior to the maturity date of the Notes) received after September 30, 1992; provided that both at the time of any such Restricted Payment or Restricted Investment, both immediately before and immediately after giving effect thereto, has been given to such proposed action: (a) no Default or Event of Default shall have occurred and be continuing, ; and (b) Holdingsthe aggregate amount of (i) all sums and property included in all Restricted Payments directly or indirectly declared, ordered, paid, made or set apart by the Borrower or any Subsidiary during the period from and including March 31, 1994 to and including the date of such proposed action (the "COMPUTATION PERIOD"), plus (ii) the aggregate amount of all Restricted Investments (at original cost) made during the Computation Period (less any net return of capital through sale or other liquidation thereof or other return of capital thereon) and all commitments for Restricted Investments made by the Borrower or any of its Subsidiaries outstanding on such date shall not exceed the sum of (x) $8,000,000, PLUS (y) 50% of Consolidated Net Income for the Computation Period (or minus 100% of Consolidated Net Income in the case of a deficit) PLUS (z) the net cash proceeds received by the Borrower from the issuance or sale during the Computation Period of shares of its capital stock (other than any mandatorily redeemable preferred stock); and, in any event, the Borrower aggregate amount of Restricted Payments made during any fiscal year shall not exceed 25% of Consolidated Net Income for the immediately preceding fiscal year. For all purposes of this Section 7.19, the amount involved in any Restricted Payment directly or indirectly declared, ordered, paid, distributed, made or set apart in property, and their Subsidiaries the amount of any Restricted Investment made through the transfer of property, shall be able deemed to incur, pursuant to Section l1.2(C)(ii) above, at least $1 be the greater of additional Funded Debt. So long as no Default or Event of Default has occurred or would be continuing after giving effect thereto, this Section 11.5 shall not prevent (a1) the payment fair value of such property (as determined in good faith by the Board of Directors) and (2) the net book value thereof on the books of the Borrower or any of its Subsidiaries (as determined in accordance with GAAP), in each case as determined on the date such Restricted Payment is declared, ordered, paid, distributed, made or set apart or the date such Restricted Investment is made or committed to be made, as the case may be. The Borrower will not pay any dividend which it has not declared nor will it declare any dividend (other than dividends payable solely in shares of its common stock) on any shares of any dividend within class of its capital stock which is payable more than 60 days after the date of its declaration if the dividend would have been permitted on the date of its declaration, or (b) the acquisition, repurchase, retirement, call, put or redemption of any shares of capital stock of Holdings out of the proceeds of the substantially concurrent sale (other than to a Subsidiary of Holdings) of, shares of capital stock of Holdings, provided that any such acquisition, repurchase, retirement, call, put or redemption shall be deemed to be a Restricted Payment for the purpose of determining the ability of Holdings and its Subsidiaries to make future Restricted Paymentsthereof.
