Common use of Restricted Note Clause in Contracts

Restricted Note. ▇▇▇▇▇▇ represents and agrees, and in entering --------------- into this Agreement the Company understands, that (a) ▇▇▇▇▇▇ is acquiring the Note for ▇▇▇▇▇▇'▇ own account, and for the purpose of investment and not with a view to the distribution thereof, and that ▇▇▇▇▇▇ has no present intention of selling, negotiating, or otherwise disposing of the Note; it being understood, however, that the disposition of ▇▇▇▇▇▇'▇ property shall at all times be and remain within its control, and (b) the Note has not been registered under section 5 of the Securities Act and that ▇▇▇▇▇▇ will only re-offer or resell the Note purchased by ▇▇▇▇▇▇ under this Agreement pursuant to an effective registration statement under the Securities Act or in accordance with an available exemption from the requirements of section 5 of the Securities Act.
