Common use of Resolutions of the Company Clause in Contracts

Resolutions of the Company. The Company shall have executed and delivered to the Investors copies of resolutions of the Company's Board of Directors, certified by the Secretary of the Company as in full force and effect on the Closing Date, authorizing, among other things, the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.

Resolutions of the Company. The Company shall have executed and delivered to the Investors Investor copies of duly adopted resolutions of the Company's Board of DirectorsDirectors and the stockholders, certified by the Secretary of the Company as in full force and effect on the Additional Closing Date, authorizing, among other things, authorizing the execution and delivery of this Agreement the Investment Agreements relating to such Additional Investment and the consummation of the transactions contemplated herebythereby.
