Resignation Letters of the Members of the Board of Directors, Management Personnel and Key Employees. Upon execution of this Agreement, each current member of the Board of Directors of Borrower, other than any such member appointed by Lender or Fronteer, and each management personnel or key employee of Borrower, shall deliver to Lender his or her letter of resignation, which letters of resignation shall be held in escrow by Lender, subject to all of the terms and conditions of this Agreement.
