Common use of Reseller Clause in Contracts

Reseller. The Parties acknowledge and agree that where the Seller provides all or part of the Services in the Seller’s capacity as a reseller, the Seller must fully comply with all of its obligations under this Agreement and in particular, the Seller must: provide all warranties for the Services, including third party warranties, personally and accept all responsibility as if those third party warranties were the Seller’s own warranties; manage any warranty claims lodged by the Buyer; comply with all obligations with respect to the supply and delivery of the Services in accordance with this Agreement as if the Seller were the person supplying the Services; guarantee and ensure all obligations with respect to the Services by the third party in accordance with this Agreement as if those obligations were the Seller’s own. The Parties further agree that the Fees payable by the Buyer to the Seller under this Agreement is in full satisfaction of any obligations which the Seller may have to the original suppliers or vendors to which the Seller is a reseller.
