Resale Process. 3.1.1 Reseller may purchase Services for resale to Reseller Customers. If Reseller wishes to enroll for Services on behalf of Reseller Customers, Reseller shall enter into an agreement with such Reseller Customers (each, a “Customer Agreement”), which (a) binds the Reseller Customers to the Subscriber Agreement applicable to the Services, as specified by QuoVadis and published at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/subscriber_agreement/; and (b) provides that QuoVadis is an express third-party beneficiary of the obligations contained in the Customer Agreement. Reseller shall use best efforts to ensure that all Customers abide by the terms of the applicable Customer Agreement(s). QuoVadis may modify such terms by updating its repository from time to time and Reseller shall flow-down such new terms to existing or new Reseller Customers. Alternatively, Reseller Customers may enroll for Services through URLs that QuoVadis provides to Reseller, in which case Reseller Customers will be subject to QuoVadis’s applicable contract terms for purchase of the applicable Services from QuoVadis. Upon written request from QuoVadis, Reseller shall promptly provide QuoVadis with a copy of each Customer Agreement, provided that Reseller may redact from such copies any information that is not relevant to the requirements of this Section 3.1.1 (if any).
3.1.2 QuoVadis hereby appoints Reseller as a Trusted Agent (and Reseller hereby accepts such appointment) pursuant to the terms of the applicable Certification Practices Statement, available at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/repository/ (as updated from time to time, the “CPS”), which is part of this Agreement. To the extent that Reseller performs any functions of a Trusted Agent, it will do so in compliance with the CPS, and QuoVadis may rely on Reseller’s actions when performing as a Trusted Agent. To the extent any third-party claim, suit, proceed, or judgment arises from Reseller’s failure to comply with the obligations of a Trusted Agent, Reseller shall defend, indemnify, and hold harmless QuoVadis, its affiliates, and their respective directors, officers, agents, employees, successors and assigns from such claim. For the purposes of this Agreement, a “Trusted Agent” assists a subscriber by collecting, organizing, and submitting information to QuoVadis on behalf of the subscriber for the purpose of making a request to QuoVadis for the issuance of Certificates to the subscriber.

3.1.2 All inventory or units of Services that Reseller purchases on behalf of Reseller Customers must be issued within twelve (12) months following the date of purchase. Any inventory or unit(s) of Services not issued within such twelve (12) month period expire, are deemed null and void, and Reseller shall not receive any credit or refund thereof. Upon issuance, each Service is valid for its applicable validity period unless earlier revoked pursuant to this Agreement, including under Section 3.3.3 below. In no event shall Reseller permit Reseller Customers to resell the Services.
Resale Process. 3.1.1 You shall purchase Tokens for the applicable Service to allow you to resell such Services to your customers. If you are a Web Host and wish to enroll for Certificates on behalf of your customers, then you shall require your customers to enter into an agreement with you (each, a "Customer Agreement"), which shall, at a minimum (a) designate you as the entity responsible for invoicing and collecting payments from your customer; and (b) bind your customer to contractual terms applicable to the purchase and use of the Service as specified by Thawte ("Pass Through Terms"). The current Pass Through Terms are identified in Exhibit A. Thawte may modify the Pass Through Terms from time to time and you agree to flow-down such new terms to your new customers. You may not modify, or allow any prospective customer to modify, any provision of the Pass Through Terms without Thawte's express written consent. Alternatively, your customers may enroll for Certificates through a unique URL that Thawte shall provide to you, in which case you shall require your customers to accept Thawte’s standard click-through agreement (“Subscriber Agreement”) for the applicable Service.
3.1.2 All Tokens are intended for single-use (redeemable for one certificate only) and must be redeemed within one year following the date of purchase or they shall be deemed null and void. Thawte shall not be responsible for re-issuing or reimbursing Reseller for any Token that had been mistakenly requested to be redeemed by Reseller and/or Customer if such mistake rests with Reseller and/or Customer. Upon redemption of a Token, the Service shall be valid for the applicable validity period stated in the Certificate, unless terminated earlier pursuant to section 12 below. In no event shall you permit customers to resell the Certificate(s).

VeriSign may modify such terms from time to time and you agree to flow-down such new terms to your new customers. Alternatively, your customers may enroll for Certificates through URLs that VeriSign shall provide to you, in which case you shall require your customers to accept VeriSign’s standard click-through agreement for the applicable Certificate.
3.1.2 All inventory or units of Certificates you purchase must be installed by your customers within twelve (12) months following the date of purchase. Any inventory or unit(s) of Certificate not installed within such twelve-month period shall expire, shall be deemed null and void, and you shall not receive any credit or refund thereof. Upon installation, each Certificate shall be valid for the applicable validity period stated in the Certificate unless earlier revoked pursuant to section 3.3.3

You shall use commercially reasonable efforts to ensure that all Customers abide by the terms of the applicable Customer Agreement(s). Symantec may modify such terms from time to time and you agree to flow-down such new terms to your customers. Alternatively, your customers may enroll for Products through URLs that Symantec shall provide to you, in which case your customers shall be subject to Symantec's standard contract terms for the applicable Products.
