Required Time Frames. Pursuant to this Section, death or incapacity shall not be grounds for termination of this Agreement unless either: (a) Area Developer or his/her legal representative fails for a period of 180 days after such death or incapacity to commence action to assign this Agreement according to controlling state law regarding the affairs of a deceased or incapacitated person and the terms of this Agreement; or, (b) Such assignment is not completed within one year after death or incapacity.
