Required Provisions in Every Assignment. Each and every assignment agreement shall contain the following provisions: (a) Each assignee shall assume all obligations of Licensee under this License and shall be jointly and severally liable with Licensee for payment of all Fees and performance of all terms, covenants and conditions to be performed by Licensee hereunder. (b) A clause naming as additional insureds under all liability and other insurance policies "THE CITY AND COUNTY OF SAN FRANCISCO, THE SAN FRANCISCO PORT COMMISSION AND THEIR OFFICERS, AGENTS EMPLOYEES AND REPRESENTATIVES". (c) Prior to the effective date of an assignment, assignee shall deliver to Port, a replacement letter of credit complying with the terms and conditions of Section 10.3 above.
