Required or Permitted Disclosure Sample Clauses
The Required or Permitted Disclosure clause defines the circumstances under which a party may disclose confidential information if required by law, regulation, or a valid legal process. Typically, this clause allows a party to share otherwise protected information with government authorities, courts, or regulatory bodies when compelled to do so, often requiring advance notice to the other party and efforts to limit the scope of disclosure. Its core function is to balance the obligation to maintain confidentiality with the need to comply with legal or regulatory demands, ensuring that parties are not penalized for disclosures mandated by law.
