Required Material. Seller acknowledges and agrees that, notwithstanding anything to the contrary set forth herein, any review, approval, request, or requirement of any Required Material shall mean only that such Required Material is acceptable to SCE solely for SCE’s internal purposes and benefit, and will not in any way be construed to mean that such Required Material is accurate, suitable for its intended purpose, in compliance with any Applicable Law or other requirement, or endorsed for the benefit of any other party, including Seller. Further, Seller acknowledges and agrees that SCE shall have no liability to Seller or any other third party with respect to any Required Material so reviewed, approved, requested or required by SCE or on SCE’s behalf.

Required Material. Vendors are required to bring any tents, tables, chairs, duct tape, staple gun &c. they may require. Area lighting and electrical power are available in the pavilion area, but Vendors MUST provide any SPECIFIC lighting they need as well as ALL extension cords, including long extension cords to reach power distribution. Power is not unlimited! Special or heavy electrical requirements are subject to additional charges. Vendors must notify the Vendor Coordinator of their power needs and may need to adjust requirements. Avoid multiple small, household extension cords.

Required Material. Asarco agrees to furnish to Coeur material, reasonably necessary, including financial statements (audited, at Coeur's cost, if necessary), to assist Coeur in preparing a proxy statement to be sent to its shareholders seeking approval of the issuance to Asarco of New Coeur shares required by the terms of this Agreement.

CHANGE IN ELECTRIC MARKET DESIGN If a Change in CAISO Tariff renders this Agreement or any terms herein incapable of being performed or administered, then either Party, on Notice, may request the other Party to enter into negotiations to make the minimum changes to this Agreement necessary to make this Agreement capable of being performed and administered, while attempting to preserve to the maximum extent possible the benefits, burdens, and obligations set forth in this Agreement as of the Effective Date. Upon receipt of a Notice requesting negotiations, the Parties shall negotiate in good faith. If the Parties are unable, within sixty (60) days after the sending of the Notice requesting negotiations, either to agree upon changes to this Agreement or to resolve issues relating to changes to this Agreement, then either Party may submit issues pertaining to changes to this Agreement to mediation as provided in ARTICLE Fourteen.. A change in cost will not in itself be deemed to render this Agreement or any terms therein incapable of being performed or administered, or constitute, or form the basis of, a Force Majeure Event. MEDIATION Other than requests for provisional relief under Section Fourteen.3, any and all Disputes which the Parties have been unable to resolve by informal methods after undertaking a good faith effort to do so, must first be submitted to mediation under the procedures described in Section Fourteen.2 below. This Article shall not apply to those disputes expressly excluded by other sections of this Agreement.

Provide only the information that you desire to have published. Any information provided will be placed on the website or contact information and will be available for anyone to access. Email addresses will not be published and will only be accessible through the Contact Me form. This information must be provided in either electronic format or hard copy.
