Request to Replace Janitor. If, following the Management Change Date, Tenant is dissatisfied with the janitorial services being provided at the Building and such condition continues for thirty (30) days following written notice to Landlord and the current janitorial service provider, then Tenant shall be entitled to request in writing that Landlord replace such current janitorial service provider. Upon Landlord’s receipt of a replacement request from Tenant, Landlord shall reasonably promptly replace the janitorial service provider with a new service provider selected by Tenant and approved by Landlord, which approval shall not be unreasonably withheld, conditioned or delayed. All costs incurred by Landlord (including, but not limited to, any termination fees or penalties) in connection with such replacement shall be payable by Tenant as part of Operating Expenses or, at Landlord’s option, on demand. Any janitorial contract entered into by Landlord for the Building shall give Landlord the right to cancel such contract without termination fee or penalty upon not more than thirty (30) days notice. Manager shall provide air conditioning and heating, subject to governmental regulations and mandates, to achieve within the occupied areas of the Leased Premises on a reasonably consistent basis the following indoor conditions so long as the outdoor conditions are within the tolerances set forth below: Indoor Conditions: Summer: 75 degrees Fahrenheit dry bulb 65.5 degrees Fahrenheit wet bulb (designed for 50% humidity) Winter: 70 degrees Fahrenheit dry bulb Outdoor Conditions: Heating Season: 12.6°F (99.6% occurrence, dry bulb temperature) Cooling Season: 90.6°F dry bulb temperature / 74.5°F mean coincident wet bulb temperature (1% occurrence) – building heat gain and ventilation loads Following the Management Change Date, standard air conditioning and heating shall be furnished to the Leased Premises in accordance with Tenant’s then current use and occupancy of the Leased Premises until such time Tenant delivers written notice to Manager requesting a modification to such service.   • HOW TO REQUEST SERVICE To request service for the Covered Product, contact the Administrator toll-free at ▇▇▇-▇▇▇-▇▇▇▇, or go online to ▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇. All repairs must be authorized by the Administrator prior to service being completed. Claims for unauthorized repairs will be denied. Many oversights, which are not covered under this Agreement, can be due to simple circumstances such as the Covered Product not being switched on, being unplugged, or a fuse blown at the junction box. To avoid a non-covered claim, perform a hard reset as illustrated by the manufacturer in the owner’s manual of Your Covered Product. For a Covered Product that uses batteries as the primary power supply, check that the batteries do not need replacing or recharging. If You refuse service on a Covered Product after We have dispatched the authorized technician to Your location, You will be billed for that servicer’s applicable trip charge. If You refuse service on a Covered Product, We are no longer responsible for any costs associated with the repair or replacement of Your Covered Product and may choose to refund You the prorated cost of this Agreement. If the cost of this Agreement is refunded at full cost or at a prorated cost, this Agreement will be considered fulfilled and no further action to repair or replace Your Covered Product will be considered.

  • Janitorial Landlord shall furnish, without additional charge, janitorial services for general cleaning of the Premises. Landlord shall use reasonable efforts when selecting vendors to provide janitorial services in an effort to secure vendors with honest and efficient employees. ▇▇▇▇▇▇ agrees to report promptly to Landlord any neglect of duty or any incivility on the part of such vendors which in any way interferes with the full enjoyment of the Premises rented by the Tenant.

  • Maintenance Repairs and Alterations 6.01 Tenant's Obligations to Repair ------------------------------ Tenant shall at its sole cost and expense, maintain in clean and safe condition, and make all repairs and replacements to the Premises and every part thereof, structural and non-structural, so as to keep, maintain and preserve the Premises in first class condition and repair, including, without limitation, the roof, the foundation, the heating, ventilation and air conditioning system ("HVAC"), elevators, if any, all plumbing and sewage facilities, fire sprinklers, electrical and lighting facilities, systems, appliances, and equipment within the Premises, fixtures, interior and exterior walls, floors, ceilings, windows, doors, entrances, all interior and exterior glass (including plate glass), and skylights located within the Premises, and all sidewalks, service areas, parking areas and landscaping comprising part of the Premises. All repairs and replacements required to be made by Tenant shall be made promptly with new materials of like kind and quality to those used in the original construction of the Premises. If the repair or replacement work affects the structural parts of the Premises, or if the estimated cost of any item or repair or replacement exceeds $10,000, then Tenant shall first obtain Landlord's written approval of the scope of work, plans therefor, and materials to be used. Any such work shall be performed by Landlord's contractor or by such contractor as Tenant may choose from an approved list to be submitted by Landlord. Landlord shall have the right to make any repairs or replacements which are not promptly made by Tenant and charge Tenant, as Additional Rent, for the cost thereof together with interest thereon at the Agreed Rate from the date of payment thereof by Landlord. Without limiting any of Tenant's obligations hereunder, during the Lease Term Tenant, at its expense, shall obtain and keep in force an HVAC service contract and a roof maintenance program satisfactory to Landlord. Tenant hereby waives the benefit of any statute now or hereafter in effect which would otherwise afford Tenant the right to make repairs at Landlord's expense or to terminate this Lease because of Landlord's failure to keep the Premises in good condition, order and repair. Tenant specifically waives all rights it may have under Sections 1932(1), 1941 and 1942 of the California Civil Code, and any similar or successor statute or law. Notwithstanding anything to the contrary contained herein, Landlord shall exercise its rights under any guaranties or warranties relating to the original construction of the Premises if the need to make repairs arises due to a defect therein; provided, however, Landlord shall not have any liability or be required to expend any funds if such guaranties or warranties are not honored by the makers hereof.

  • Installation, Maintenance, Testing and Repair Unless otherwise agreed in writing by the Parties, to the extent required by Applicable Law, Interconnection provided by a Party shall be equal in quality to that provided by such Party to itself, any subsidiary, affiliates or third party. If either Party is unable to fulfill its obligations under this Section 14.2, it shall notify the other Party of its inability to do so and will negotiate alternative intervals in good faith. The Parties agree that to the extent required by Applicable Law, the standards to be used by a Party for isolating and clearing any disconnections and/or other outages or troubles shall be at parity with standards used by such Party with respect to itself, any subsidiary, affiliate or third party.

  • Emergency Replacement SAP may replace a Subprocessor without advance notice where the reason for the change is outside of SAP’s reasonable control and prompt replacement is required for security or other urgent reasons. In this case, SAP will inform Customer of the replacement Subprocessor as soon as possible following its appointment. Section 6.3 applies accordingly.
