The Request Notices clause defines the procedures and requirements for how formal requests or notifications must be communicated between parties under an agreement. Request Notices. At least thirty (30) days prior to any proposed subletting or assignment for which Landlord’s consent is required hereunder, Tenant shall submit to Landlord a statement seeking Landlord’s consent and containing the name and address of the proposed subtenant or Tenant and financial information showing its creditworthiness, the terms of the proposed sublease or assignment including the proposed date for possession for such subtenant or new tenant and, if only a portion of the Premises is proposed to be sublet, identification of the size and location of such portion (the “Request Notice”). If Landlord gives Landlord’s written consent to the proposed assignment or subletting (the “Transfer”), it shall be a condition precedent to Landlord’s giving its consent that Tenant shall first pay Landlord a reasonable fee determined by Landlord, but not more than $500.00, for Landlord’s administrative and legal expenses and costs in processing the documents related to such transaction. If Landlord gives Landlord’s written consent to a Transfer and such Transfer is not made within one hundred eighty (180) days after the date Landlord gave such written consent, then Landlord’s written consent to the Transfer shall be automatically null, void and of no force or effect whatsoever. If after receipt of the Request Notice Landlord requests additional or further information which Landlord reasonably requires to consider the proposed Transfer, Tenant shall promptly deliver such information to Landlord.
