Request by Indemnitee. To obtain indemnification under this Agreement, Indemnitee shall submit to the Company a written request for indemnification containing a brief description of any matter for which indemnification is then sought under this Agreement. The request shall be given in accordance with the notice provisions of Section 7.10 hereof. The Secretary or an Assistant Secretary of the Company shall, promptly upon receipt of such a request for indemnification, advise the Board in writing that Indemnitee has requested indemnification. In addition, Indemnitee shall provide the Company, following the Company’s request, with such documentation and information as is reasonably available to Indemnitee and that the Company may reasonably require to determine whether and to what extent Indemnitee is entitled to indemnification.
