Representations, Warranties, and Covenants of the Accounts Agent. (i) The Accounts Agent does not have any adverse claim in respect of any Account or any financial assets or other property credited thereto and, except for the rights and interests of the Trustee, the Holders, and the Issuer (to the extent provided in this Agreement, the Indenture, or any other Financing Document), the Accounts Agent has not been advised of any right or claim (including any adverse claim) to or interest in the Accounts or any financial assets or other property credited thereto. The Accounts Agent will promptly notify the Trustee upon obtaining any such adverse claim or notice of adverse claim.
