Representations, Warranties and Covenants of Buyer; No Material Adverse Effect. (i) All of the representations and warranties made by Buyer in this Agreement (considered collectively) and each of these representation and warranties (considered individually) must have been accurate in all material respects as of the date of this Agreement and must be accurate in all material respects as of the Closing Date as if made on the Closing Date, and (ii) Buyer shall have performed and complied with all agreements and covenants required by this Agreement to be performed by it on or prior to the Closing Date; and (iii) there has been no Material Adverse Effect as to the Buyer.
