Representations and Warranties of the Dealer Manager As an inducement to the Company to enter into this Agreement, the Dealer Manager represents and warrants to the Company that:
Representations of the Depositor The Depositor makes the following representations on which the Issuing Entity is relying in acquiring the Receivables and issuing the Notes and the Certificates. The representations in clause (a) speak as of the Closing Date.
