Representations of Purchaser. Purchaser hereby represents and warrants to Seller: a. Organization. Purchaser is duly organized, validly existing, in good standing in the state of its formation, and has all requisite power and authority to purchase and own property and conduct business in the state where the Property is located, and each individual executing this Agreement on behalf of Purchaser represents and warrants that he/she is duly authorized to execute and deliver this Agreement on behalf of Purchaser.
