The Borrower represents and warrants that, after giving effect to this Amendment, (i) the representations and warranties contained in the Loan Documents are true as though made on and as of the date hereof and (ii) no Default has occurred or will be continuing as of the date hereof.

The Borrower represents and warrants that, after giving effect to this Amendment, that on and as of the date hereof (i) the representations and warranties contained in the Loan Documents Credit Agreement and each other Operative Agreement are true as though made on and as of the date hereof and (ii) assuming the giving effect to this Amendment, no Default has occurred or will be continuing as of the date hereofand is continuing.
