Common use of Representations by Consultant Clause in Contracts

Representations by Consultant. The Consultant represents and warrants to the Company that: i. The Consultant’s acceptance of services under this Agreement with the Company and the performance of the Consultant’s duties hereunder will not conflict with or result in a violation of, a breach of, or a default under any contract, agreement, or understanding to which the Consultant is a party or is otherwise bound; ii. The Consultant’s representations to the Company regarding the Consultant’s prior experience have been truthful and accurate; and iii. Consultant shall immediately notify the Company of any issues that arise that could conflict with the representations, warranties, and obligations set forth herein, including without limitation, any demands, claims, notices, or requests made by third parties that could adversely impact Consultant’s ability to perform services under this Agreement.
