REPRESENTATIONS AND WARRANTIES TRUE All of the representations and warranties of the Buyer and 2d set forth in this Agreement, including in any of the Schedules hereto or other agreements or documents attached hereto or referred to herein or delivered pursuant hereto or in connection with the transactions contemplated hereby shall be true and correct as of the time of the Closing, as if made at and as of such time, in all material respects unless qualified as to materiality by the terms, in which case they shall be true and correct. On the Closing Date, the Buyer and 2d shall have executed and delivered to Seller a certificate, in form and substance reasonably satisfactory to Seller and its counsel, to such effect.
