Common use of Representations and Warranties to be True and Correct Clause in Contracts

Representations and Warranties to be True and Correct. The representations and warranties contained in Article III shall be true and correct on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date (except to the extent that any representations and warranties of the Company specifically apply to conditions existing at a particular date), and the Company shall have certified to such effect to the Investors in writing.

Representations and Warranties to be True and Correct. The representations and warranties contained in Article III shall be true true, complete and correct in all material respects on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date (except to the extent that any representations and warranties of the Company specifically apply to conditions existing at a particular date), and the Company Purchaser shall have certified to such effect to the Investors Company in writing.

The representations and warranties contained in Article III 3 shall be true true, complete and correct on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date (date, except to the extent that any such representations and warranties expressly relate to any earlier date (in which case such representations and warranties shall be accurate on and as of the Company specifically apply to conditions existing at a particular such date), and an authorized officer of the Company shall have certified to such effect compliance to the Investors Purchaser in writingwriting on behalf of the Company.

The representations and warranties contained in Article III Sections 3.01 through 3.04 shall be true true, complete and correct on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date (date, except to the extent that any such representations and warranties expressly relate to any earlier date (in which case such representations and warranties shall be accurate on and as of the Company specifically apply to conditions existing at a particular such date), and an authorized officer of the Company shall have certified to such effect compliance to the Investors Purchaser in writingwriting on behalf of the Company.
