Representations and Warranties of Video Update to be True and Correct. The representations and warranties of Video Update under Article Three hereof shall be true and correct in all respects at the Release Date with the same effect as though made at such time. Video Update shall have performed all obligations and complied with all covenants and conditions required by this Agreement to be performed or complied with by it prior to the Release Date. Video Update shall have executed and delivered to the Sellers a certificate of Video Update in the form of Exhibit F annexed hereto, dated the Release Date and signed by an authorized officer to all such effects.
