Common use of Representations and Warranties of the Jurisdictions Clause in Contracts

Representations and Warranties of the Jurisdictions. Each Jurisdiction, severally and not jointly, represents and warrants to the Company that (a) this Agreement has been executed by authorized officers of the respective Jurisdiction, and has heretofore delivered to the Company evidence of such authority; (b) it has the full power and authority to execute and deliver this Agreement to the Company and to carry out the transactions contemplated hereby, all of which have been duly authorized in accordance with the laws of the Commonwealth of Virginia; and (c) there is no litigation pending, or to the knowledge of the respective Jurisdiction, threatened in writing, which questions this Agreement or which affect or may affect the transactions contemplated hereby.
