REPRESENTATIONS AND WARRANTIES OF THE COMPANY THE COMPANY MEMBERS AND THE COMPANY AFFILIATES. The Company, Company Members and Company Affiliates represent and warrant to Parent as set forth below. On the date of this Agreement, the Company, the Company Members and the Company Affiliates delivered to Parent a schedule (the “Company Disclosure Schedule”) setting forth, among other things, items the disclosure of which are necessary or appropriate (a) in response to an express disclosure requirement contained in a provision hereof, (b) as an exception to one or more representations and warranties contained in this Article III or (c) as an exception to one or more covenants contained in this Agreement. Disclosure in any section of the Company Disclosure Schedule shall apply only to the indicated section of this Agreement, except to the extent that it is reasonably apparent on its face that such disclosure is relevant to another section of this Agreement.
