REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE COMPANY MEMBER. The Company and the Company Member, jointly and severally, hereby represent and warrant to Parent and Merger Sub (with the understanding and acknowledgement that neither Parent nor Merger Sub would not have entered into this Agreement without being provided with the representations and warranties set forth in this Article III and that the Parent and Merger Sub are relying on these representations and warranties), that, except as set forth in the Company Disclosure Schedule, subject to Section 10.05, the statements contained below are true and correct on the date hereof and at the Effective Time.
