As an inducement to the Sellers and the Shareholders to enter into this Agreement and to consummate the transactions contemplated hereby, and with the knowledge that the Sellers and Shareholders will rely thereon, Radiant as of the date hereof represents and warrants to the Sellers and the Shareholders, the following as of the date hereof, which shall be unaffected by any investigation heretofore or hereafter made by the Sellers or the Shareholders, and shall survive the Closing of the transactions provided for herein.
