Representations and Warranties of PAA. PAA hereby represents and warrants to each Shareholder and PAGP that the execution and delivery of this Agreement by PAA and the consummation of the transactions contemplated hereby have been duly authorized by all necessary action on the part of the board of directors of GP LLC. PAA acknowledges that no Shareholder has made and no Shareholder is making any representation or warranty of any kind except as expressly set forth in this Agreement.
