REPRESENTATIONS AND WARRANTIES OF HOMELOAN AND OWNERS. The representations, warranties and statements of HomeLoan and Owners contained in this Agreement, the Exhibits hereto, the HomeLoan Disclosure Schedule and the Owners Disclosure Schedule shall be complete and accurate as of the date of this Agreement and shall also be complete and accurate at and as of the Closing Date, except for changes contemplated by this Agreement, as if made at and as of the Closing Date; and HomeLoan and Owners shall have performed or complied in all material respects with all agreements and covenants required by this Agreement to be performed or complied with by it at or prior to the Closing Date.
