Executive represents and warrants to the Company that (i) Executive is under no contractual or other restriction or obligation which is inconsistent with the execution of this Agreement, the performance of his duties hereunder, or the other rights of the Company hereunder and (ii) Executive is under no physical or mental disability that would hinder the performance of his duties under this Agreement.

Executive represents and warrants to the Company that (i) Executive is under entering into this Agreement voluntarily, that Executive is free to accept employment hereunder and that Executive has no contractual prior or other restriction obligations or obligation which is inconsistent commitments of any kind that would in any way hinder or interfere with the execution of this Agreement, the performance of his duties hereunderExecutive’s acceptance of, or the other rights of the Company hereunder and (ii) Executive is under no physical or mental disability that would hinder the full performance of his duties under this Agreementof, such employment.
