Representations and Warranties of Eliem. Except as disclosed by Eliem in any section of the disclosure schedule dated as of the date of this Agreement and delivered by Eliem to Athenen simultaneously herewith (the “Eliem Disclosure Schedule”), Eliem makes the following representations and warranties to Athenen as follows. For purposes of these representations and warranties (other than those in Subsections 3.02(b), (c), (d), (e), (f), and (g), the term the “Eliem” shall include any subsidiaries of Eliem, including the Eliem Subsidiaries (as defined in Subsection 3.02(c)), unless otherwise noted herein.
Representations and Warranties of Eliem. The representations and warranties of Eliem set forth in this Agreement shall be true and correct in all material respects as of the date of this Agreement and also shall be true and correct in all material respects as of the Closing.
