Representations and Warranties of Credit Parties. In order to induce the Administrative Agent, the Fronting Bank and the Lenders to enter into this Credit Agreement and to make the Loans and issue Letters of Credit and/or credit participations, purchase participations in the Letters of Credit provided for herein, the Credit Parties, jointly and severally, make the following representations and warranties to, and agreements with, the Administrative Agent, the Fronting Bank and the Lenders, all of which shall survive the execution and delivery of this Credit Agreement, the issuance of the Notes, the making of the Loans and the issuance of the Letters of Credit.
